1. Introduction

These Terms & Conditions apply to all quotations, orders, and works carried out by Urbanxscapes (“we”, “us”, “our”).
By proceeding with an order, the client (“you”, “your”) agrees to be bound by these Terms.

2. Business and Consumer Customers

We work with both:
    • Business Customers (including developers, contractors, and commercial operators) 
    • Consumer Customers (private residential clients) 
Certain legal rights, including cancellation rights, may apply only to Consumer Customers and not to Business Customers.

3. Scope of Work

We offer:
    • Supply only 
    • Supply and installation 
All works are carried out in accordance with agreed specifications, drawings, and quotations.
We reserve the right to make reasonable adjustments where necessary due to site conditions, product availability, or practical considerations.

4. Quotations & Orders

    • Quotations are valid for a limited period unless otherwise stated 
    • All quotations are subject to site conditions and access 
    • Final costs may vary based on: 
        ◦ Site conditions 
        ◦ Access limitations 
        ◦ Groundworks or preparation requirements 
        ◦ Client-requested changes 
Orders are confirmed only once accepted in writing and, where applicable, deposit payment has been received.

5. Payment Terms

Commercial Projects
    • A 50% deposit is required prior to commencement 
    • The remaining balance is due within 14 days of completion, unless otherwise agreed 
    • Stage payments may be required depending on project size 
Residential Projects
    • Products are typically payable in full prior to supply 
    • Installation costs are payable upon completion 
For higher-value residential projects, staged or deposit payments may be required at our discretion.
General
    • No works or orders will commence until required payments are received 
    • Late payments may result in delays and may incur additional charges 

6. Lead Times & Delivery

    • Residential lead times vary depending on whether the order is supply only or supply and installation 
    • Commercial projects typically operate on an 8-week lead time, subject to supplier availability 
All lead times are estimates and may be affected by:
    • Supplier delays 
    • Weather conditions 
    • Site readiness 
We accept no liability for delays outside of our control.

7. Installation Terms

For installation projects:
    • Suitable access to the site must be provided 
    • The site must be prepared and ready for installation 
    • We reserve the right to delay or pause works if site conditions are unsuitable 
For commercial projects:
    • Access must be agreed in advance 
    • Delays caused by site readiness or access issues may result in additional costs 

8. Planning & Permissions

The client is responsible for ensuring that all necessary:
    • Planning permissions 
    • Building consents 
    • Regulatory approvals 
are in place prior to works commencing.
We accept no responsibility for delays or issues arising from missing approvals.

9. Variations & Changes

Any changes requested after order confirmation must be:
    • Agreed in writing 
    • May incur additional costs 
    • May affect project timelines 

10. WarrantyAll products are supplied with applicable manufacturer warranties.Pergola systems are covered by a 5-year manufacturer’s warranty, subject to the manufacturer’s terms and conditions.Urbanxscapes provides a 12-month workmanship warranty covering installation-related defects.Full details are available in our Warranty Policy.Warranty does not cover damage caused by weather conditions exceeding manufacturer limits, misuse, lack of maintenance, or unauthorised modifications.

11. Returns & Refunds

    • Bespoke or custom-made products (common in commercial projects) are non-refundable 
    • Standard products may be returned in accordance with our Refund & Returns Policy 

12. Damage, Misuse & Maintenance

We are not liable for damage caused by:
    • Weather conditions exceeding manufacturer specifications, including high winds 
    • Misuse or improper use of the system 
    • Lack of appropriate maintenance 
    • Unauthorised modifications or third-party interference 
Failure to maintain systems correctly may void any applicable warranty.

13. Liability

To the maximum extent permitted by law:
    • We are not liable for indirect or consequential losses, including loss of revenue or business interruption 
    • Our total liability shall not exceed the value of the contract 

14. Ownership of Goods

All goods remain the property of Urbanxscapes until full payment has been received.

15. Service Area

  • Residential projects are carried out across Scotland (excluding remote areas) 
    • Commercial projects may be undertaken UK-wide, depending on project scope 

16. Force Majeure

We are not liable for delays or failure to perform due to events beyond our control, including but not limited to:
    • Extreme weather 
    • Supply chain disruption 
    • Labour shortages 

17. Governing Law

These Terms & Conditions are governed by the laws of Scotland.

18. Subcontractors, Partners & Trade Supply

Urbanxscapes may, where appropriate, engage trusted third-party contractors or partners to carry out elements of the works.
All partners are selected based on their experience, reliability, and suitability for the project.
Where third parties are used:
    • We remain responsible for overall project delivery where contracted directly by the client 
    • Certain elements of work may be subject to third-party warranties or terms 
For trade customers or partners purchasing products for resale or installation:
    • Responsibility for installation, compliance, and suitability rests with the purchasing party unless otherwise agreed in writing 
    • Manufacturer warranties will apply to supplied products, subject to their terms 
Urbanxscapes reserves the right to supply products to trade partners at its discretion.
